Clause 4: Context of the Organization

What is ISO 22301 Clause 4

Clause 4 lays the groundwork for the entire business continuity management system (BCMS). It sits in the Plan stage of the PDCA cycle, and it exists to make sure the BCMS is built around the organisation’s actual situation, not a generic template.

In the grand scheme of ISO 22301, this clause feeds directly into Clause 6 (Planning) and Clause 8.2 (Business Impact Analysis and Risk Assessment), since you can’t properly assess what would disrupt your business until you understand what that business actually does and who it answers to. It has four sub-clauses: 4.1, 4.2, 4.3, and 4.4.

ISO 27001 Clause 4 Requirements

4.1 Understanding the organization and its context

Requirement
The organisation must determine external and internal issues relevant to its purpose that affect its ability to achieve the intended outcomes of its BCMS.

How to Implement
Review your external environment (market conditions, regulatory landscape, supply chain dependencies, geopolitical or climate exposure) alongside your internal environment (organisational structure, culture, past incidents, risk appetite). Since the standard’s own note links these issues to the organisation’s overall objectives, products, services, and the amount of risk it’s willing to take on, frame this exercise around a simple question: what, in our environment or our own operations, could realistically threaten our ability to keep delivering?

Mandatory Documents
There is no “shall be available as documented information” requirement tied to 4.1 itself, so no mandatory document is required. It is useful, though optional, to keep a short context register, since this feeds directly into your business impact analysis under 8.2.

4.2 Understanding the needs and expectations of interested parties

Requirement
4.2.1 General requires the organisation to determine relevant interested parties and their requirements. 4.2.2 Legal and Regulatory Requirements requires a process to identify, access, and assess applicable legal and regulatory requirements related to the continuity of products, services, activities, and resources, ensure these are accounted for in the BCMS, and document and keep this information up to date.

How to Implement
List your interested parties (regulators, customers, shareholders, employees, insurers, supply chain partners) and what they expect from you regarding continuity. Then build a dedicated legal and regulatory register, since this sub-clause requires more rigour than most other Annex SL standards’ equivalent interested-party clause: it’s not enough to simply note that legal requirements exist, you must actively track, access, and keep them current.

Mandatory Documents
Yes, explicitly mandatory for 4.2.2. ISO 22301 states the organisation must “document this information and keep it up to date.” You must maintain:

  • A Legal and Regulatory Requirements Register, covering obligations related to continuity of products, services, activities, and resources
4.3 Determining the scope of the Business Continuity Management System

Requirement
4.3.1 General requires the organisation to determine the boundaries and applicability of the BCMS, considering the issues from 4.1, requirements from 4.2, and its mission, goals, and internal/external obligations. The scope must be documented. 4.3.2 requires establishing which parts of the organisation are included (considering location, size, nature, complexity), identifying which products and services are included, and documenting and explaining any exclusions, which must not affect the organisation’s ability and responsibility to provide business continuity.

How to Implement
Decide which sites, business units, products, and services the BCMS will cover, and be deliberate about exclusions. Since any exclusion must be justified against your business impact analysis or risk assessment (covered later in 8.2) and against applicable legal requirements, draft your scope statement after, not before, your first BIA, so exclusions are evidence-based rather than arbitrary.

Mandatory Documents
Yes, explicitly mandatory. ISO 22301 states “the scope shall be available as documented information.” You must produce and maintain:

  • A formal BCMS Scope Statement, naming the included parts of the organisation, products, and services, with documented and justified exclusions
4.4 Business Continuity Management System

Requirement
The organisation must establish, implement, maintain, and continually improve a BCMS, including the processes needed and their interactions, in accordance with the requirements of the standard.

How to Implement
Treat this as the umbrella requirement tying every other clause together. In practice, this means mapping how your context analysis, leadership commitments, risk treatment, BIA, plans, and reviews all interact, often visualised as a single BCMS process map new staff and auditors can follow.

Mandatory Documents
There is no explicit documentation requirement tied to 4.4 itself. No mandatory document is required, though a BCMS Manual or process map is a useful, non-mandatory reference.
